1)     Dealers are required to pay HK$1,000 deposit for dealer account setup, the deposit will be refunded at month-end 30 days after the dealership termination, KOL Partners are exempted.

2)     Dealer and KOL Partners should comply with all Merlyn Health pricing policies and sales conditions, false prompt, selling, and violations of laws are subject to penalty and termination of the dealership.

3)     Direct Selling Commission and Override Commission will be pay at month-end 30 days, if the first month of account opening is less than 20 days, the settlement will be extended to the second month.

4)     Merlyn Health has the right to terminate the dealership if the dealers and or KOL sales volume of the direct selling is less than 30 products or less than 6 override accounts in the first 3 months.

5)     All commissions will be calculated at after-sales tax and discounted net price.

6)     KOL partners are required to make a product-selling video for each of the dealership products for selling and promotion purposes, Merlyn Health has the right of use.

7)     KOL partners are required to attach at least one product 30’s commercial and or category commercial to each of its own videos for selling and promotion purposes.

8)     Merlyn Health has the right to grant KOL partners status from time to time, non-active KOL partners will be demoted to Dealers and or termination of dealership.

9)     Merlyn Health has the right to request KOL partners to modify and or delete the inappropriate contents of their video produced.

Potential earnings;

Dealers will make a total 4225.5 per month (ie. direct selling commission 1408.5 per 30 products average price 313 per month, and 2817 per 3 referrers, each referrer sells 30 products average price 313 per month).

KOL partners will make a total 15493.5 per month (ie. direct selling commission 7042.5 per 90 products average price 313 per month, and 8451 per 9 referrers, each referrer sells 30 products average price 313 per month).
